Tempus AI has agreed to acquire Personalis in a $1.5bn stock deal positioned to strengthen the company's oncology provision with minimal residual disease (MRD) testing.
Under the deal, expected to close by early 2027, Tempus will acquire the cancer-tech firm's outstanding stock at $16.25 per share, equating to a purchase price of $1.5bn, discounting Tempus' existing 12.25% stake in the California-based company. The mooted share price offering represents a 6% premium on Personalis' share price of $15.39 at market close on 17 July, while Tempus also has the option to exercise its right to pay up to 50% of the transaction in cash.
Following the deal's announcement ahead of market open on 20 July, Tempus' shares, listed on the Nasdaq, fell by 7.74% from a market open of $49.78 to a $48.41 close. Tempus has a market cap of $8.69bn. Meanwhile, Personalis stock, also listed on the Nasdaq, fell 13.2% to a market close of $13.34. Personalis has a market cap of $1.4bn.
In a research note, William Blair analysts said a pressure point will be profitability given Personalis' loss-making position, indicating a potential source of investor hesitation on the market. Tempus and Personalis have been collaborating since November 2023, a pair-up that saw the joint development and commercialisation of Personalis' NeXT Personal MRD test.
MRD testing, which is designed to detect trace amounts of cancer cells remaining in the body following cancer treatment such as chemotherapy, is attracting rising interest in the precision oncology space
Tempus CEO, Eric Lefkofsky, commented: "MRD is a large and rapidly growing market with the potential to truly transform how cancer patients are monitored, helping clinicians make faster and more informed decisions when cancer recurs.
"Through our existing collaboration with Personalis, we have already demonstrated the strength of combining highly sensitive MRD technology with our commercial infrastructure. With clinical adoption and reimbursement momentum building, we are collectively well positioned to capture this opportunity."
Personalis reported preliminary Q2 revenue of $22.4m, with 10,384 MRD tests distributed throughout the quarter, representing a 33% increase in test volumes on a quarter-over-quarter basis. However, the company is currently operating at a net loss.
Chris Hall, CEO of Personalis, commented: "Combining with Tempus gives us the scale, complementary capabilities and resources to accelerate innovation and deliver even greater value to patients, clinicians and biopharma partners."
Large players within the diagnostics space have been building out their MRD testing provision. In December 2025, Natera acquired Foresight Diagnostics in a $450m deal, acquiring its phased variant technology in a move the former said would complement the reach of its MRD testing provision across solid tumours and lymphoma.
Meanwhile, Roche subsidiary Foundation Medicine acquired Saga Diagnostics in a $595m buyout in April 2026, with the company's CEO, Dan Malarek, expressing that MRD tests represent "one of the fastest-growing areas" within diagnostics.
